Media Submission Terms & Conditions and Content Release

These Terms and Conditions (“Agreement”) govern the submission of photographs, videos, stories, text, audio, and other materials (collectively, “Media” or “Submissions”) to Zachary’s Jewelers.
Submitted Media may be considered for use in:
- #StoryOfYes, which features stories and media submitted by Zachary’s Jewelers customers describing their proposal, engagement, wedding, or relationship story,
- the Zachary’s Jewelers Bridal Yearbook, an annual publication featuring wedding photographs of couples who purchased their rings from Zachary’s Jewelers and were married during the previous year,
- the Zachary’s Jewelers website and blog,
- social media platforms,
- in-store digital displays,
- printed publications, and
- other advertising, promotional, editorial, and marketing materials created by or for Zachary’s Jewelers.
By submitting Media, you acknowledge that you have read, understood, and agree to be legally bound by this Agreement.
1. Eligibility
By submitting Media, you represent and warrant that:
- You are at least 18 years of age.
- You have the legal authority to enter into this Agreement.
- All information provided in connection with your submission is truthful and accurate.
If your submission includes Media involving another individual, you represent that you have obtained that individual’s permission to submit the Media and grant the rights described in this Agreement.
2. Ownership and Rights to Submitted Media
You represent and warrant that:
- You are the owner of the submitted Media or have obtained all necessary rights, licenses, and permissions from the copyright owner(s).
- The Media does not infringe upon any copyright, trademark, privacy right, publicity right, or other intellectual property right.
- The Media does not violate any contract, license agreement, or professional photography or videography agreement.
- All individuals appearing in submitted Media have consented to the use of their likeness, voice, and identity as described in this Agreement.
You acknowledge that Zachary’s Jewelers relies on these representations when accepting submissions.
3. Photographer and Videographer Permission Requirement
Many wedding photographs and videos are copyrighted by the photographer or videographer.
If any submitted Media was created by a professional photographer, videographer, or production studio, you represent and warrant that you have obtained the creator’s permission or license allowing the Media to be submitted and used in connection with marketing, promotional materials, publication, and advertising.
You acknowledge that:
- Zachary’s Jewelers does not verify photographer or videographer permissions, and
- Responsibility for obtaining such permission rests entirely with the submitting individual.
4. License Granted to Zachary’s Jewelers
By submitting Media, you grant Zachary’s Jewelers and its affiliates, employees, agents, partners, licensees, successors, and assigns a perpetual, irrevocable, worldwide, royalty-free, fully transferable, sublicensable, non-exclusive license to:
- Use
- Publish
- Reproduce
- Display
- Distribute
- Broadcast
- Edit
- Adapt
- Reformat
- Archive
- Create derivative works
of the submitted Media.
This license includes use in connection with:
- #StoryOfYes
- the Zachary’s Jewelers Bridal Yearbook
- the Zachary’s Jewelers website and blog
- social media platforms
- in-store digital displays
- printed publications
- advertising and marketing campaigns
- email marketing
- press or media promotion
- and any other promotional, editorial, or marketing uses related to Zachary’s Jewelers.
Zachary’s Jewelers may use:
- Entire submissions
- Individual photographs
- Individual videos
- Still frames from videos
- Written stories
- Edited excerpts
- Media with or without accompanying text
at its sole discretion.
No compensation will be provided for the use of submitted Media.
5. Name, Image, Voice, and Likeness Release
You grant Zachary’s Jewelers the right to use the name, likeness, image, voice, story, and identity of any individuals appearing in submitted Media for editorial, promotional, advertising, and marketing purposes.
You represent that all individuals appearing in the submitted Media have consented to this use.
6. Waiver of Moral Rights
To the fullest extent permitted by applicable law, you waive any moral rights or similar rights you may have in the submitted Media, including rights of attribution or integrity.
Zachary’s Jewelers may edit, crop, shorten, format, or otherwise modify submitted Media at its sole discretion.
7. No Obligation to Publish
Submission of Media does not guarantee publication or use.
Zachary’s Jewelers reserves the right, at its sole discretion, to:
- Select or reject submissions
- Edit submissions
- Use only portions of submissions
- Remove previously published materials
without notice.
8. Responsibility for Submitted Media
You acknowledge and agree that:
- You are solely responsible for the Media you submit.
- Zachary’s Jewelers does not verify ownership, permissions, or rights associated with submitted Media.
- Zachary’s Jewelers relies on your representations that you have the legal right to submit the Media.
9. Indemnification
You agree to defend, indemnify, and hold harmless Zachary’s Jewelers and its owners, officers, employees, agents, affiliates, successors, and partners from and against any and all claims, damages, liabilities, losses, settlements, judgments, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:
- Copyright infringement
- Trademark infringement
- Violation of privacy or publicity rights
- Unauthorized use of photographs or videos
- Failure to obtain photographer or videographer permission
- Breach of any representation or warranty in this Agreement
- Any claim by a third party regarding ownership or rights to the submitted Media.
This indemnification obligation shall survive the termination of this Agreement or the removal of submitted Media.
10. Limitation of Liability
To the maximum extent permitted by law, Zachary’s Jewelers shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from or related to the submission, publication, or use of submitted Media.
11. Copyright Complaints (DMCA)
If you believe that content published by Zachary’s Jewelers infringes your copyright, you may submit a written notice including:
- Identification of the copyrighted work
- Identification of the allegedly infringing material
- Your contact information
- A statement that you have a good-faith belief the use is not authorized
- A statement, under penalty of perjury, that the information provided is accurate and that you are authorized to act on behalf of the copyright owner.

Upon receipt of a valid notice, Zachary’s Jewelers may remove or disable access to the allegedly infringing material.
12. Dispute Resolution and Arbitration
Any dispute arising out of or relating to this Agreement shall be resolved through binding arbitration, except where prohibited by law.
Arbitration shall be conducted in the State of Maryland in accordance with the rules of the American Arbitration Association.
13. Class Action Waiver
You agree that any dispute resolution proceedings shall be conducted only on an individual basis and not as part of any class, collective, or representative action.
14. Governing Law
This Agreement shall be governed by and interpreted in accordance with the laws of the State of Maryland, without regard to its conflict-of-law principles.
15. Entire Agreement
This Agreement constitutes the entire agreement between the submitting individual and Zachary’s Jewelers regarding submitted Media and supersedes any prior communications or agreements relating to the submission.
16. Agreement and Acknowledgment
By submitting photographs, videos, stories, or other Media, you acknowledge that:
- You have read and understood these Terms and Conditions
- You agree to be legally bound by them.
